Terms and Conditions of Trading of the VOC Spares Company Limited (Vincent Spares)
[Herein after referred to as VINCENT SPARES]
Every effort is made to ensure all of the prices shown are correct. We are not responsible for any errors that occur. If an error is found before your order is processed, we will notify you as soon as we can. All prices shown on our website can be set by the user to include or exclude VAT at the current UK rate of 20%. We will however always endeavour to apply the correct rate of VAT that applies to your destination (see below).
Customers resident inside the UK You should select the VAT inclusive price. Failure to do so may incur a delay to your order.
Customers resident outside the UK. You should have selected NO VAT on your order, however please note that you may be liable to pay your own customs taxes on arrival of the goods.
Discount: Individual Shareholders of Vincent Spares and current members of The Vincent HRD Owners Club (VOC) (Note :Membership number must be given and details will be checked against a current list of names supplied by the VOC) are granted a 10% discount on most parts for personal use only. This is for personal, non-commercial use only. Any suspected breach of this condition (eg re-sale of part to another party) will result in the benefit being withdrawn. There are also discounts available for approved trade customers who can qualify for an agreed discount. For Regalia see section 12
Non-members of the VOC are welcome use the website.
All Customers: The basic charges are included in the purchase price of the goods. This is done by collecting the total postage and packing charges for all our goods over a period and then apportioning that out as a small percentage addition to our price. This method enables us to give you the full price at the point of order, saves us time in assembling the order, and importantly if a few items are missing from your order we can ship them later without obtaining extra funds or incurring delays. A few excessively bulky or heavy items sent abroad may incur extra charges and also an individual order with a value below £10 may also incur an appropriate carriage charge. When these charges are applied they are shown on the invoice. Our aim is to get your order to you as soon as possible. We automatically use the most cost effective shipping method available. Should you require special courier service a charge may be levied. For regalia items see section 12
Collection in person: VAT at the current UK rate of 20% will be charged on all collections.
Backorders: If one or more of your items are not in stock, we will backorder the item(s). We will contact you with the anticipated delivery time with the option to part ship, hold the order or cancel those item(s). Should the item(s) come into stock relatively quickly we ship, if items remain on backorder for an extended period, we will contact you to confirm the item(s) are still required.
Incorrect parts: We endeavour to supply customers’ orders correctly every time. If, however we have supplied the incorrect part or the quality of a part is not to your satisfaction, please contact us as soon as possible so that we can arrange to have the part returned for a full refund or replacement. See item 6 Returns, below.
Your credit/debit card will be billed in the name of Vincent Spares. You can pay by any, Visa, MasterCard, Delta, Switch, Solo card. To ensure that shopping on-line is secure, your credit/debit details will be handled by DIBS and Barclaycard in full. Vincent Spares does not store any payment information on its servers. The prices displayed on our website are in British pounds.
We can cancel any order up to the point of despatch provided there are no special ordered parts within your order. Please note we cannot offer a cancellation or refund on non-stock items specially ordered for you. For Regalia items see section 12 below
All items supplied carry a 12-month warranty. Items not used for the purpose intended, incorrectly fitted, misuse or fair wear and tear is excluded. Only the part itself is covered by the warranty we cannot cover consequential loss. If you are not happy with a part sent, for any reason, it can be returned and either replaced or refunded. See item 6. Returns below. Goods correctly supplied may be subject to a handling charge if returned. You should check all goods upon receipt. Return postage may be refundable. Vincent Spares hold worldwide product liability insurance cover.
Please note; many components require fitting skills that take years of experience to acquire. Whilst every effort is made to supply the correct components the final onus on fitting is with the fitter. If you do not own the correct tools or have the necessary experience then entrust the job to someone who is qualified.
5. Website Orders
When you have placed your order on-line, we will send you an e-mail confirmation, this is produced automatically so that you have confirmation of your order details. An automatic confirmation does not necessarily mean that we will be able to meet your order. Once orders are placed on the web-shop we transfer them on to our system and they are reviewed by a member of our staff who will inform you of any issues with your order.
Orders placed via our website (www.vincentspares.co.uk) will be treated as an offer to buy and shall not be accepted or binding upon Vincent Spares until confirmed or acknowledged in writing by means of invoice or statement confirming acceptance of your order or by despatch of goods to you. Order acknowledgement sent by the Company subsequent to the order and payment shall not amount to confirmation of order. The Company reserve the right to refuse any offer to purchase prior to despatch, where goods ordered become unavailable, the price of goods varies or an error is made by the Company in the price, description or for some other reason, whereupon a full refund of your payment will be made to you, usually in the method you made payment to the Company.
Vincent Spares does not disclose buyers’ information to third parties other than when order details are processed as part of the order fulfilment such as a delivery service. In this case, the third party will not disclose any of the details to any other third party.
Vincent Spares is registered in accordance with United Kingdom data protection legislation and will hold and use your personal data strictly in accordance with that.
All payments taken on orders placed via the website are processed via a secure 3rd party who are fully PCI compliant. No information relating to your credit or debit cards placed via an order entered on our website is held by us.
7. Returned goods
Returned goods can only be accepted on the following conditions:
a. You have contacted Vincent Spares and we have requested you to return the items.
b. Parts should be returned in “as new” condition and in their original packaging, if applicable.
c. Parts must be suitably packed, loss or damage to items due to insufficient packing will not be refunded.
d. Full return postage must be paid, if we incur a charge for insufficient postage, we will deduct this from any refund, the risk of returning the goods to us is with the sender. Insurance should be arranged for expensive items.
e. Customs documentation must be annotated “goods returned under warranty” and “zero commercial value”. If this is not done and we incur a charge for import duty we will deduct this from any refund.
f. The invoice or a copy or invoice number and a description of the problem must be returned with the goods.
g. Our liability is restricted to replacing goods supplied by us only. Should it not be possible to replace the goods we can credit your account or a refund will be made.
h. Goods supplied correctly as ordered may be liable to a restocking charge.
i. In the case of special orders and where goods have been made to customer specification, we reserve the right to refuse cancellation and refunds.
8. Credit notes
For any goods returned and deemed suitable for refund, credit will be created. Vincent Spares do not normally issue credit notes, any credit is held on your account, and a statement of account can be requested at any time. Should you require a refund to be paid please advise us at the time of the transaction.
9. Loss in transit
You agree that proof of delivery supplied by our delivery company is sufficient evidence to establish that goods have been received. All goods are fully insured by us whilst in transit to you. Before goods are considered ‘lost in transit’ and replacements sent or a refund given, the following time limits apply. Within the UK this is fifteen days, the rest of Europe it is twenty days and all destinations outside Europe it is twenty-five days. Should items be received after they have been replaced you are required to inform us and we will agree what action is to be taken.
All goods remain the property, but not the responsibility of, Vincent Spares until paid for in full.
11. Copyright/Trademarks/Data Protection
All content included on the site including but not limited to web site design, text, graphics, audio clips, visual clips, logos, and the selection and arrangement thereof are the property ofVincent Spares and is protected by UK and international copyright laws. You may view, copy and print portions of our website for the sole purpose of placing an order with us. The materials on our website may not be used for any other purposes.
Various items of ‘Regalia’ are sold by Vincent Spares on behalf of the VOC under a franchise agreement. Items that carry the official logo of the VOC will only be sold to current members of the VOC. Membership details will be checked against a current list of names supplied by the VOC. Certain logos are subject to copyright, registered designs and/or trademarks of the VOC.
12. Regalia specific terms and conditions
Sales of Regalia items are administered and the Regalia web shop is maintained by Vincent Spares on the behalf of the Vincent Owners Club and the following points relate to the differences in Terms and Conditions relating to their sale as opposed to Vincent Spares.
12.1 Regalia Discounts
The Membership discount of 10% does not apply to Regalia items
12.2 Regalia Post and Packing
For the UK post and packing is included in the price shown. For areas outside the UK a surcharge per consignment will be applied as follows:
Postage to Europe, Orders under £25 GBP 6.00, Orders over £25 GBP 12.00
Postage Rest of the World, Orders under £25 GBP 8.00, Orders over £25 GBP 15.00

12.3 Regalia Embroidered items
These are treated as special order items and thus are not eligible for refund.
13. Machine sales Terms and Conditions
The Vincent Spares offer their services as a sales agent to private owners of Vincent and Vincent H.R.D machines. All sales arrangements will be subject to a simple agreement:
13.1 The motorcycle will remain the property of the Seller at all times until a sale has been completed.
13.2 Vincent Spares agree to organise and manage the sale on behalf of the Seller. However, the sale will be ‘a private sale’ between the Seller and the eventual Purchaser.
13,3 The UFM and Engine numbers must match the registration document, if not we will refuse to take the machine in for sale. We strongly recommend that the VOC Machine Registrar is contacted to assist in any changes to the registration.
13.4 The various frame and engine numbers will be inspected by Vincent Spares prior to accepting the machine and will be passed to the VOC Machine Registrar to be verified. If a VOC Dating Cert and factory records are not with the machine these will requested from the VOC and any costs deducted from the sale monies.
13.5 If there is found to be any issue with the frame and engine numbers, we discuss this with you. We strongly recommend that you contact the VOC Machine Registrar prior to putting the machine with us.
13.6 Unless by prior agreement, the Seller’s personal details will only be divulged to the purchaser by Vincent Spares on completion of the sale, as on the registration document.
13.7 Delivery of the motorcycle to the Vincent Spares will be the responsibility of the Seller. Vincent Spares may be able to arrange this for the Seller, at cost.
13.8 Vincent Spares will display it at their premises in Deabourgh.
13.9 Should the machine require any minor work, cleaning etc to prepare it for sales Vincent Spares can do this work at cost. The maximum spend on this will agreed in advance.
13.10 Vincent Spares will take all reasonable care of the machine while it is at their premises, however as the motorcycle remains the property of the Seller until sold, the Vincent Spares will insure it whilst on the premises the cost of this is included in the selling fee.
13.11 The Seller shall be responsible for the accuracy of any historical provenance and the mechanical description of the machine. Original copies of supporting documentation for these are to be supplied.
13.12 Before the machine is offered for sale a realistic estimated sale price will be agreed between the Seller and Vincent Spares, including a minimum ‘reserve’ price: Vincent Spares will try to achieve the highest possible sale price.
13.13 Advertisements will be in the name of Vincent Spares, on web site, in MPH, and anywhere else Vincent Spares considers appropriate to achieve a sale the cost of this is included in the selling fee.
13.14 Vincent Spares will charge the Seller a fee of 5% of the final selling price, per machine unless otherwise agreed in writing. This fee will be subject to VAT at the current rate. if aplicable. Vincent Spares will take no fees for the sale from the Purchaser.
13.15 Vincent Spares will act as escrow account for the payment of the agreed sale price. The Vincent Spares fees and costs will be deducted from this and the balance paid to the Seller by cheque or bank transfer with an invoice for the fees and costs.
13.16 Vincent Spares will issue a receipt to the Purchaser for the full sale price on behalf of the Seller.
13.17 Vincent Spares will be allowed exclusive rights to sell the machine for a period of six months (or other period as agreed). If the Owner of the machine sells the machine privately during this time then the Owner shall still be liable to pay Vincent Spares the sales fee and costs before the machine is released from Desbourgh.
13.18 If the machine fails to sell within this time and the Owner/Vincent Spares does not wish to extend the period and the machine is returned to the Seller, Vincent Spares shall be entitled at their discretion to invoice the Owner for their reasonable costs to date.
13.19 Each individual machine shall be subject to a separate agreement.
14. Machine Purchase Terms and Conditions
Vincent Spares offer their services as a sales agent to private owners of Vincent and Vincent H.R.D machines.
14.1 The motorcycle will remain the property of the Seller at all times until a sale has been completed.
14.2 All sales are ‘Private Sales’ between the Seller and Purchaser.
14.3 Unless by prior agreement, the Seller’s personal details will only be divulged to the Purchaser by Vincent Spares on completion of the sale, as on the log book.
14.4 Unless by prior agreement, the Purchaser’s personal details will only be divulged to the Seller by Vincent Spares on completion of the sale, as on the Sales Receipt.
14.5 Unless by prior agreement, the machine will be on display at Vincent Spares premises in Desbourgh.
14.5 The machine is strictly sold ‘as seen’ no warranty of any kind is offered by the Seller or Vincent Spares.
14.7 Any details of the machine given as part of the sale are only as supplied by the Seller, Vincent Spares do not guarantee any of the information. The Purchaser should make all necessary checks to satisfy themselves before purchase
14.8 The Seller shall be responsible for the accuracy of any historical provenance and the mechanical description of the machine. Copies of any supporting documentation, if available, can be viewed.
14.9 Vincent Spares do not charge the Purchaser a fee for purchase.
14.10 Vincent Spares will act as escrow account for the payment of the agreed sale price. Any bank fees and costs will be met by the Purchaser.
14.11 The machine will only be released once payment in full is received. The preferred method is bank transfer. Any bank fees and costs will be met by the Purchaser.
14.12 The Seller will issue a receipt to the Purchaser for the full sale price: Vincent Spares will draft and sign this on behalf of the Seller.
14.13 If any work is required to be done at the request of the Purchaser Vincent Spares can arrange for this to be done at the Purchaser’s cost, this may be carried out by an outside specialist and an estimate can be provided.
14.14 Collection/Delivery of the motorcycle will be the responsibility of the Purchaser. Vincent Spares may be able to arrange this for the Purchaser, at cost.
All Vincent Spares transactions are performed under the jurisdiction of English Law.
